Introduction
Welcome to SpendFlow (“we,” “us,” or “our”), a receipt scanning, spending report and invoicing service operated by OneSoftWay. These Terms govern your use of our website and mobile app. By using SpendFlow, you agree to these Terms. If you do not agree, please do not use the service.
Acceptance of terms
By using SpendFlow, you affirm that you are of legal age and able to enter into this agreement. If you use SpendFlow on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Use of services
License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use SpendFlow for your personal or internal business purposes. You may not reproduce, modify, distribute, or create derivative works based on the service without our prior written consent.
Prohibited conduct. You agree not to:
- Violate any applicable laws or regulations
- Upload content you do not have the right to upload, or that infringes the rights of others
- Interfere with or disrupt the integrity or performance of the service
- Attempt to gain unauthorized access to our systems, or to another user’s account or receipts
AI-read information
SpendFlow uses artificial intelligence to read receipts. AI can make mistakes: totals, dates, taxes, merchants, or line items may be read incorrectly or not at all. You are responsible for reviewing the information before relying on it, including for tax, accounting, or expense-reimbursement purposes. SpendFlow is not tax, accounting, or financial advice.
Your content
You keep ownership of the receipts and information you add to SpendFlow. You grant us permission to store, process, and display that content solely to provide and improve the service for you, including sending receipt images to our AI provider for reading as described in our Privacy Policy.
Intellectual property
We retain all rights, title, and interest in SpendFlow, our website, and related intellectual property.
Privacy
We handle your personal information in accordance with our Privacy Policy.
Pricing and paid plans
Plans. SpendFlow is offered on paid plans — currently Basic, Pro and Enterprise — each with a monthly allowance of receipts and invoices and the features described on our pricing page. The current prices are shown there and, before you confirm, at checkout. Prices are in Canadian dollars (CAD) unless shown otherwise, and applicable taxes are added where required.
Free trial. Every new account starts with a free trial of the Pro plan for the period shown on the pricing page. No payment card is needed and nothing is charged during or after the trial unless you choose a plan. When the trial ends without a plan, you can still sign in and see your receipts, reports and invoices, but you can’t upload new receipts or create new invoices until you choose a plan.
Subscriptions and renewal. A paid plan is a subscription billed in advance, monthly or — where offered — yearly. It renews automatically at the end of each billing period, and you authorize us to charge your payment method for each renewal until you cancel. Yearly billing is charged up front for the whole year at the discount shown when you buy it. Payments are processed by our payment provider, Stripe; we don’t store your full card details.
Monthly allowances. Receipt and invoice allowances are counted per calendar month (UTC) and reset on the first of each month. Unused allowance doesn’t carry over, and deleting a receipt or invoice doesn’t give it back. When you reach an allowance you can upgrade your plan or wait for the next month.
Changing plans. You can switch plans, or between monthly and yearly billing, from the Plan page. The new plan starts when its first payment goes through, and your previous subscription is cancelled at the same time. Unused time on the previous subscription is not credited or refunded unless we tell you otherwise when you switch.
Add-ons. Add-ons such as Invoicing and Accountant workspaces are paid separately, on top of a plan, and are always billed monthly. Each add-on can be tried free once per account for the period shown in the app. Some add-ons need a particular plan, some plans include an add-on at no extra cost, and an add-on stops working when your plan ends.
Enterprise. Enterprise plans are set up with us directly. Their price, allowances, number of team members and billing are as agreed in writing, and that agreement prevails over these Terms where they differ. The account owner is responsible for the people they add to their team.
Cancelling. You can cancel a plan or add-on at any time from Manage billing in the app. Cancellation stops future renewals. Your receipts and other content stay in your account after a plan ends.
Refunds. Except where required by law or stated otherwise at purchase, payments are non-refundable, including for partial billing periods and unused allowances.
Failed payments. If a renewal payment fails, the subscription is cancelled and the plan or add-on stops working. Your content is kept, and you can subscribe again at any time.
Price changes. We may change our prices. A new price applies to new purchases straight away. For an existing subscription, we will tell you at least 30 days before a new price applies to it, by email or in the app, and you can cancel before it takes effect.
App stores. If you buy through the Apple App Store or Google Play, where offered, the purchase is processed by that store and is also subject to its terms, including its refund and cancellation policies.
Account security
You are responsible for keeping your sign-in details and the email account you sign in with secure, and for activity under your account. Contact us promptly if you believe your account has been accessed without your permission.
Service availability
We work to keep SpendFlow available, but we do not guarantee continuous, secure, or error-free operation. Maintenance, updates, third-party outages, or unforeseen issues may affect availability. Keep your own copies of receipts you are legally required to retain.
Third-party services
SpendFlow relies on third-party services, including Google (AI reading), Stripe (payments), cloud hosting, and email delivery. We are not responsible for interruptions or changes caused by those providers.
Limitation of liability
To the extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of, or inability to use, SpendFlow — including damages resulting from information read incorrectly by AI.
Indemnification
You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of SpendFlow or your violation of these Terms.
Termination
You may stop using SpendFlow at any time and ask us to delete your account by contacting us. Deleting your account doesn’t cancel a paid subscription by itself — cancel it first from Manage billing so you aren’t charged again. We may suspend or terminate access if we believe you have violated these Terms or applicable law, or if payment for a paid plan fails.
Modifications to the terms
We may update these Terms from time to time. We will post the updated version here and, for significant changes, notify you by other means. Continued use after a change means you accept the revised Terms.
Governing law and jurisdiction
These Terms are governed by the laws of Ontario, Canada. Any legal action arising out of these Terms shall be brought exclusively in the courts of Ontario, and you consent to their jurisdiction.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
Entire agreement
These Terms are the entire agreement between you and SpendFlow regarding the service and supersede any prior agreements or understandings.
